Preity Zinta Moves Court Against Ness Wadia Over Punjab Kings’ Controversial EGM
Bollywood actress and Punjab Kings IPL co-owner Preity Zinta, along with co-owner Ness Wadia, has approached the Chandigarh district court challenging the legality of an Extraordinary General Meeting (EGM) held by KPH Dream Cricket Pvt. Ltd., the company that owns the franchise. The contentious meeting took place on April 21, 2025, and Preity Zinta claims it was conducted in violation of the Companies Act, 2013, and secretarial standards.

Preity Zinta, who holds a 23% stake in the company and serves as one of its directors, has filed a civil suit alleging that Mohit Burman and Ness Wadia, her fellow co-owners and directors, unlawfully convened and conducted the EGM despite her objections. The court has issued notices to KPH Dream Cricket Pvt. Ltd., Burman, and Wadia. The hearing is scheduled for May 27, where arguments on an interim injunction will be presented.
Represented by advocate Sangram Singh Saron, Zinta’s petition highlights procedural irregularities in the meeting’s conduct, particularly focusing on the roles of both Ness Wadia and Preity Zinta herself.
Ness Wadia and Preity Zinta Clash Over EGM Chairperson Appointment
According to the petition, when the EGM commenced, Preity Zinta and co-director Karan Paul objected to the appointment of Ness Wadia as chairperson, citing Principle 5.1 of the Secretarial Standards, which requires directors to elect a chairperson among themselves if none is pre-designated. Both Preity Zinta and Paul proposed that one of them should chair the meeting instead, resulting in a split vote among the four directors present.
Despite this deadlock, Ness Wadia, supported by Mohit Burman, proceeded with the meeting and allegedly appointed Muneesh Khanna as an additional non-executive director. Zinta claims this appointment violates the company’s Articles of Association and established corporate governance norms.
Preity Zinta has requested the court to declare the resolutions passed during the disputed EGM invalid and prevent the company and its directors from acting on any such resolutions. She also seeks an injunction restraining Muneesh Khanna from acting as a director and wants a halt on further board or general meetings without her and Karan Paul’s participation while the suit is pending.
